Terms of Service

Version 1.3, 26 Oct 2026

Effective date: 27 October 2026. Last materially changed: 26 October 2026. Provider: Sloan Software LLC, a Delaware limited liability company trading as Box Boss Repricer ("Box Boss", "we", "us"). Contact: support@boxbossrepricer.com, 8 The Green, Ste B, Dover, DE 19901.

These Terms are a contract between Box Boss and the business that creates an account ("you", "Customer"). By creating an account, ticking the sign-up box or using the Service you agree to them. If you do not agree, do not use the Service.

1. Who the Service is for

1.1 The Service is for businesses that sell on amazon.com. You confirm you are using it for business purposes, not for personal, family or household purposes, and that the person creating the account can bind the business.

1.2 We may decline or close an account that shares staff, stock or an Amazon selling account with us or with a business connected to us. We do not take on such customers (see §8).

2. What the Service does, and what you decide

2.1 The Service connects to your Amazon selling account through Amazon's Selling Partner API, with your authorization, and sends price changes for the listings you enable, using the rules you choose, your costs, and the public offer information on the listing. It changes only prices on your existing listings: the price, your minimum and maximum price, and your business (B2B) price with its quantity discounts, which it can also remove. It never creates or deletes listings and never edits titles, images, inventory or shipments.

2.2 You set the floor and the ceiling. Every listing the Service prices has a minimum and a maximum price. You can type your own; if you leave the minimum blank, it is worked out from your cost, Amazon's fees and the minimum profit (ROI or margin) you set for your account, and if you leave the maximum blank, the Service uses a dynamic maximum. A listing with no cost is not priced. You confirm your costs at the floor check before pushes start. The Service will not send a price below the minimum or above the maximum. The ultimate pricing decision rests with you: you choose the strategy, the minimum profit, any minimum and maximum, and which listings are enabled, and you can change any of them, or switch the Service off, at any time without penalty.

2.3 A record behind every price. Every price the Service sends is recorded internally with the rule that chose it, for our audit, support and compliance, for the retention period in the Data Processing Addendum. The record is not shown in your account. The engine is rules-based; where we use a language model (the import mapping of your cost files, and the help assistant) we say so in the product, and those features never set a price.

2.4 What we do not promise. We do not promise that you will win or keep the Buy Box, any level of sales, revenue or profit, or that any price is the "right" price. Amazon's systems, other sellers and your own settings decide outcomes we do not control. The Service depends on Amazon's API and marketplace, which can change or fail without notice.

2.5 Your costs are yours. The Service uses the costs, fees and shipment values you enter or import. If they are wrong, the floor is wrong. You are responsible for keeping them right.

3. Your account and your Amazon authorization

3.1 Keep your login confidential. We offer two-step login (an authenticator code) on every login and strongly recommend you turn it on. An account may have up to three logins (you and two team members you invite); each has its own password, and its own authenticator when two-step login is on, and you are responsible for activity under all of them.

3.2 You authorize the Service in Seller Central; you can revoke that authorization there at any time, which stops the Service at once.

3.3 You must comply with Amazon's policies and applicable law in how you price and sell. We may suspend or close an account that Amazon tells us has breached its policies, or that is used in a way that breaches §6.

4. Fees, billing and renewal

4.1 Price. $395 a month, or $4,266 a year (10 % off), per selling account on amazon.com, plus any applicable sales tax, which is shown separately at checkout and on each invoice. Prices are in US dollars. The price includes up to 5,000 active SKUs (a SKU is active when it is enabled for repricing in your account); larger catalogs are by separate arrangement. Until we tell you by email that it has changed, an account with more than 1,000 active SKUs is also by separate arrangement. The Service is limited to 100 customer accounts at any one time; when the limit is reached new sign-ups join a waiting list.

4.2 The 5-day free trial. Each Amazon selling account gets one free trial, once; we keep a record of a one-way, keyed fingerprint derived from its Amazon seller ID, not the seller ID itself, to apply this (Privacy Policy). The trial starts when we switch your account live on your onboarding call and ends at 11:59 PM in your time zone on the fifth day (the day it starts is day one). During the trial the Service prices the listings you enable, live on Amazon, within §2.2. No payment card is taken for it, and it does not convert into a paid plan by itself. To keep going, you choose a plan, enter a card and tick the consent box in §4.3, and the plan starts that day at the price and frequency you consented to. If you do nothing, repricing stops when the trial ends, your prices stand (§5) and nothing is charged; until you start a paid plan, logging in shows only the plan options. If you start a paid plan after the trial has ended, your settings are kept and repricing stays switched off until you switch it on. An account that has not started a paid plan 30 days after its trial began is closed under §13.3.

4.3 Your consent to renewal. Before you are charged, we show you the price, how often you will be charged, that the plan renews automatically until you cancel, and how to cancel. You accept by ticking a box that says so. We email you a confirmation of those terms the same day. We keep a record of your consent for at least three years, or one year after your account closes if that is later.

4.4 Automatic renewal. A monthly plan renews every month and an annual plan renews every year, at the price shown when you subscribed, until you cancel. For an annual plan we email you a reminder between 30 and 40 days before the renewal date stating the renewal price, the date and how to cancel. For a monthly plan we email you once a year, on the anniversary of your sign-up, with the price, how often you are charged and how to cancel.

4.5 Price changes. If we change the price of your plan we email you 30 days before the change takes effect, with the old and new price and how to cancel. If you do not want the new price, cancel before it takes effect and nothing more is charged.

4.6 Cancel online. You can cancel at any time in Subscription and billing in your account: click Cancel plan, then confirm on the next screen. Telling us why is optional, and there are no retention offers in the way. Cancellation takes effect at the end of the paid billing period; you keep full access to the Service until then. Fees are not refunded, including for the unused part of a period, except where the law requires it or where these Terms say so (§12.2, §13.2, §14 and DPA §5.1). Any other refund is at our sole discretion and is not an entitlement; giving one does not oblige us to give another.

4.7 Payments are processed by Stripe. Failed payments are retried; see §5 for what happens if payment is not made.

4.8 Taxes. You are responsible for any sales, use or similar tax on the fees; where we are registered to collect it, we add it to the invoice.

5. Suspension: pushes stop and prices stand

5.1 Non-payment. If a payment fails, we put the account on hold at once and email you the same day with the time it took effect: pushes stop, and your prices stand. We retry the card, and the Service resumes as soon as the fee is paid. The last price the Service sent stays live on Amazon exactly as it is; we do not revert it, change it or touch your listings, and you can change any price yourself in Seller Central at any time. We do not put an account on hold while you are disputing a charge with us in good faith in writing. A card chargeback raised with your bank puts the account on hold in the same way (pushes stop, prices stand) until it is resolved.

5.2 Amazon suspension. If Amazon suspends or withdraws our application, or your authorization, pushes stop and your prices stand in the same way. We will tell you as soon as we know.

5.3 Nothing is locked. During a payment hold you can still export your costs from the account, and your data is deleted on the timetable in the Data Processing Addendum. We never hold your data or your listings as security for payment.

5.4 Restoring. Once the fee is paid, the Service resumes from your current settings and floors; you can review them on the floors page at any time.

6. Independent pricing: what you must not do

6.1 You price independently. You set your own minimum, maximum and strategy from your own costs and your own judgment.

6.2 You must not use the Service to agree, signal or coordinate prices with any other seller, and you must not enter into the Service any non-public pricing, cost, stock or strategy information belonging to another seller.

6.3 The Service never uses another customer's data to set your price, never tries to recognize other sellers' tools, and treats every listing the same whoever else is on it. You accept the Service on that basis and must not ask us to change it for you.

6.4 Nothing in the Service penalizes or scores you for rejecting, overriding or switching off a price. If any feature ever appears to, tell us and we will remove it.

6.5 You will use the Service only for selling accounts you own or are authorized to manage, and in compliance with Amazon's Business Solutions Agreement and policies.

7. Your data

7.1 Our handling of your Amazon data and any personal data in it is governed by the Data Processing Addendum, which forms part of these Terms. In summary: we process your data only to run the Service for you; we keep each customer's data in its own database and process; we never aggregate data across customers; we never use your data to train a model; we keep order data no longer than Amazon's Data Protection Policy allows; and we delete your data within 30 days after your account closes, or sooner on request, except where the law requires us to keep it, and except the free-trial record (a one-way, keyed fingerprint derived from your Amazon seller ID; kept only so each selling account gets one trial) and the record of your consent to renewal (§4.3).

7.2 You may export your costs from the account at any time; a copy of your other data is available on request (Privacy Policy).

7.3 We may use anonymous, aggregated operational statistics about the Service as a whole (uptime, push counts, reaction times) that identify no customer and no listing, for running and describing the Service.

8. Our conflict of interest, disclosed

8.1 The owner of Box Boss also owns a separate company that sells on amazon.com. That company is not a customer of the Service and has no access to the Service's systems or data. Nobody at Box Boss reads a customer's costs, minimum, maximum or strategy except to support that customer at its request, and every such access is logged.

8.2 If you believe we have breached this clause, tell us in writing; we will investigate and show you the access log for your account.

9. Intellectual property

9.1 We own the Service and everything in it except your data. You get a non-exclusive, non-transferable right to use the Service for your business during your subscription.

9.2 You own your data. You give us the right to process it to provide the Service, as set out in §7 and the DPA.

9.3 You may not copy, reverse-engineer, resell or build a competing product from the Service, or use it to benchmark, monitor or study its pricing behavior for a competing product or service; doing so is a material breach. Separately, we may decline an account for, or end the Service under 13.2 (at once, with a pro rata refund of prepaid fees) for, anyone who builds, sells or works for a competing repricing product.

10. Warranties

10.1 We will provide the Service with reasonable skill and care, substantially as described in our documentation, and we will keep the floor and ceiling rule in §2.2.

10.2 Otherwise the Service is provided "as is". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and any warranty about Amazon's platform, the Buy Box, sales or profit.

11. Limitation of liability

11.1 Cap. Except for the Excluded Claims, each party's total liability arising out of or relating to these Terms, in contract, tort or otherwise, is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

11.2 Excluded losses. Except for the Excluded Claims, neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost sales, lost data or loss of business, even if told they were possible. For clarity, the price of goods you sold, or did not sell, at a price the Service sent within the minimum and maximum you set is a loss of this kind.

11.3 Excluded Claims are: a party's fraud, willful misconduct or gross negligence; your breach of §6; your breach of §9.3; your payment obligations; either party's indemnity in §12; and any liability that cannot be limited by law.

11.4 These limits are a fundamental part of the bargain and the price reflects them.

12. Indemnities

12.1 You will defend and indemnify us against third-party claims, including claims by Amazon or by buyers, arising from your listings, your products, your prices (within the limits you set), your costs, your breach of §6 or of Amazon's policies, or data you entered that you had no right to enter.

12.2 We will defend and indemnify you against third-party claims that the Service, as provided by us and used as permitted, infringes a US patent, copyright or trademark. We may modify or replace the Service, or end your subscription and refund prepaid fees for the unused period, to resolve such a claim.

12.3 The indemnified party must give prompt notice, control of the defense to the indemnifying party, and reasonable cooperation.

13. Term, termination and what happens after

13.1 These Terms apply from account creation until your account is closed.

13.2 We may end these Terms on 30 days' written notice for convenience (with a pro rata refund of prepaid fees), or at once if you materially breach them and do not cure within 10 days of notice, or at once if Amazon's rules require it, or at once with a pro rata refund of prepaid fees in the case 9.3 describes (a competing repricing product).

13.3 On closure: pushes stop and your prices stand (§5). Before your plan ends you can export your costs from the account. For 30 days after it ends, email us and we send you a copy of your data; then we delete it under the DPA. Sections 7, 9, 11, 12, 13.3, 15 and 16 survive.

14. Changes to these Terms

We may change these Terms by emailing you and posting the new version at least 30 days before it takes effect, with a summary of what changed. If a change materially reduces your rights you may cancel before it takes effect and receive a pro rata refund of prepaid fees. Continued use after the effective date is acceptance.

15. Governing law and disputes

15.1 These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts in Delaware have exclusive jurisdiction, and each party submits to them. Either party may seek an injunction in any court to protect its intellectual property or confidential information.

15.2 Before suing, the parties will try in good faith to resolve a dispute by email and a call within 30 days of written notice.

16. General

16.1 Amazon. You acknowledge that Amazon is not a party to these Terms, that we must comply with Amazon's agreements and policies for developers, and that we may change the Service to stay compliant with them. Amazon may require us to audit our handling of its data; you will cooperate where your data is involved.

16.2 Notices are by email to the address on the account (you) and to support@boxbossrepricer.com (us).

16.3 Assignment. You may not assign these Terms without our consent. We may assign them to a successor of the business on notice.

16.4 Entire agreement; severability; waiver; force majeure; independent contractors; no third-party beneficiaries in the usual way: these Terms with the DPA and the order details on your Subscription and billing page are the whole agreement; an unenforceable clause is cut to the minimum and the rest stands; a waiver must be in writing; neither party is liable for delays caused by events beyond its reasonable control (Amazon's platform included); nothing creates a partnership or agency; no one else can enforce these Terms.
